Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the website located at lionmtn.com and any services, content, and SMS messaging programs provided by Lion Mountain Consulting, LLC (“LION MTN.”, “we”, “us”, or “our”). By accessing the Site, submitting a form, or opting in to receive SMS messages from us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site or our services.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Site or our services. By using the Site you represent that you meet these requirements.

2. Services

LION MTN. provides consulting, implementation, integration, managed services, and related advisory services for contact center technology, including Five9 platform engagements. Specific deliverables, fees, and timelines are governed by separate written agreements executed with each client.

3. SMS Messaging Program Terms

The following terms apply to our SMS / text messaging program. By opting in, you agree to these terms.

3.1 Program Description

LION MTN. sends SMS messages for purposes such as consultation confirmations, appointment reminders, service updates, and follow-up communications related to active or prospective consulting engagements.

3.2 Consent (Opt-in)

You consent to receive SMS messages from LION MTN. by checking the SMS opt-in box on a form on our Site, providing your mobile number in a written agreement, or otherwise expressly agreeing to receive text messages. Your consent is not a condition of purchasing any goods or services.

3.3 Message Frequency

Message frequency varies based on the nature of your engagement with us and will not exceed what is reasonably necessary to fulfill the purpose you opted in for.

3.4 Message and Data Rates

Message and data rates may apply. Check your mobile carrier plan for details. LION MTN. is not responsible for any charges from your wireless carrier related to SMS messages.

3.5 Opt-out

You can cancel the SMS service at any time. Simply text “STOP” to the number from which you received the message. After you send the SMS message “STOP” to us, we will send you an SMS message confirming that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to rejoin, sign up as you did the first time and we will start sending SMS messages to you again.

3.6 Help

3.7 Supported Carriers

Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Virgin Mobile, US Cellular, Cricket, Alltel, Cincinnati Bell, Cellcom, C-Spire, nTelos, MetroPCS, and other smaller regional carriers.

3.8 Privacy

Information we collect in connection with the SMS program is handled as described in our Privacy Policy. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support of the SMS program is permitted. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

4. Acceptable Use

You agree not to use the Site or our services to:

• Violate any applicable law or regulation.
• Infringe upon the rights of any third party.
• Transmit any unlawful, harassing, defamatory, or otherwise objectionable content.
• Interfere with or disrupt the Site, servers, or networks connected to the Site.
• Attempt to gain unauthorized access to any portion of the Site or any systems or networks.

5. Intellectual Property

The Site and its original content, features, and functionality are and will remain the exclusive property of LION MTN. and its licensors. All trademarks, service marks, and trade names displayed on the Site are the property of their respective owners. Nothing in these Terms grants you any right or license to use any trademark without our prior written consent.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by LION MTN. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

7. Disclaimers

The Site and all content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. LION MTN. does not warrant that the Site will be uninterrupted, timely, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall LION MTN., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Site or services.

9. Indemnification

You agree to defend, indemnify, and hold harmless LION MTN. and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your use of the Site or services, your violation of these Terms, or your violation of any third-party right.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. Your continued use of the Site after revisions become effective constitutes acceptance of the new Terms.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
